In Practice:  Recent Successes

Behind every lease is a story.  These examples show how strategic advice, delivered quickly and clearly, can protect your position and lead to a better outcome.

Business Purchase - Make Good Obligations

A client buying an established business was being granted a new lease. The make-good clause required them to strip the premises back to bare bones - removing every fixture and fitting ever installed, not just those they were acquiring.

We negotiated this back to a fairer outcome: the client only needed to remove the items they were purchasing with the business saving significant cost and stress down the track.

Struggling Tenant – Managed Exit Strategy

A client was struggling to sell her business, which wasn’t turning a profit, and was falling behind on rent.

We negotiated an arrangement allowing her to pay rent in arrears while catching up, then surrender the lease and secure the release of a personal guarantee with make-good obligations delayed until a new tenant was found. This kept open the possibility of minimising liability if the new tenant took on the fitout.

Frequently asked questions

  • Yes.  I work on commercial property transactions, residential purchases and sales, and complex matters like mixed-use developments and strata.  For commercial property, that often includes reviewing leases, checking for GST implications, or dealing with existing tenancies.  For residential, I focus on clear, timely advice so you can proceed confidently, especially where timing or negotiation strategy matters.

  • Definitely.  Early contract review is one of the most valuable steps in any property purchase.  I’ll check for zoning restrictions, unusual title conditions, non-standard special conditions, and anything that might impact your offer, development plans, or finance approval.  The goal is to help you make a fully informed decision - not just a legally compliant one.

  • Commercial property transactions go well beyond a simple sale contract.  I look at lease terms (if the property is tenanted), confirm if GST applies to the sale, review zoning and planning issues, and help you negotiate special conditions that protect your position.  Whether you’re buying to operate a business or as an investment, I align the legal side with your commercial goals.

  • Yes.  I regularly support buyers’ agents and selling agents to ensure contracts are legally sound, reflect what’s been negotiated, and can be turned around quickly.  My role is to reduce legal risk without slowing you down making, sure both the process and the paperwork hold up under scrutiny.

  • Yes, and ideally before you sign anything.  Contracts prepared by agents are often based on standard forms and may not cover the specific risks or terms relevant to your transaction.  I review timing, disclosure, GST treatment, and anything else that could expose you down the track, and suggest amendments where needed.

  • As early as possible - ideally at the heads of agreement or offer stage.  Early advice lets you clarify key terms, avoid hidden risks, and move forward without having to renegotiate under pressure later.  I’ll give you a clear view of your legal position before things become urgent or irreversible.
